Merger plan

In connection with the intention to merge the company SPIE Central Europe sp. z o.o., with its registered office in Warsaw (address: Plac Trzech Krzyży 18, 00-499 Warsaw), entered in the Register of Entrepreneurs of the National Court Register (Krajowy Rejestr Sądowy) maintained by the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register, under KRS number 0000748054, holding NIP (Tax Identification Number) 5272864378 and REGON (National Business Registry Number) 381262590 (the "Acquiring Company"), with SPIE Stangl Group sp. z o.o., with its registered office in Świdnica (address: ul. Gdyńska 25, 58-100 Świdnica), entered in the Register of Entrepreneurs of the National Court Register maintained by the District Court for Wrocław-Fabryczna in Wrocław, 9th Commercial Division of the National Court Register, under KRS number 0000717623, holding NIP (Tax Identification Number) 7252262832 and REGON (National Business Registry Number) 369651177 (the "Acquired Company"),

the Management Board of the Acquiring Company and the Management Board of the Acquired Company, acting pursuant to Article 498 in conjunction with Article 499 § 1 and § 2 and Article 516 § 6 of the Act of 15 September 2000 – Commercial Companies Code (the "CCC"), agreed and prepared, in simplified form, on 31 August 2026, a merger plan (the "Merger Plan") for the Acquiring Company and the Acquired Company.

The Merger Plan will be made available to the public free of charge on the websites of the Acquiring Company and the Acquired Company as of 31 August 2026, for a period of at least 1 (one) month prior to the date of filing an application with the competent registry court for registration of the merger of the companies in the Register of Entrepreneurs of the National Court Register.
